General terms and Conditions

1. Scope and Acceptance

1.1 These Terms and Conditions govern all sales and deliveries made by Signage Displays via the website [www.signage-displays.com] or through direct quotation.
1.2 By placing an order, the buyer confirms acting in the course of a business or profession (“B2B”) and accepts these Terms in full.
1.3 These Terms take precedence over any terms of the buyer, unless expressly agreed in writing.

2. Eligibility

2.1 Sales are made exclusively to registered businesses, organisations, or professionals.
2.2 By ordering, you confirm that:

• You are authorised to represent the purchasing entity;

• You have the legal capacity to enter into binding agreements;

• You are not restricted from doing so under applicable law.

3. Pricing and Taxes

3.1 All prices are exclusive of VAT, customs duties, import taxes, and other charges, unless otherwise stated in writing.
3.2 All products are shipped duty unpaid from outside the EU (e.g. China). The buyer is the importer of record and is solely responsible for applicable import duties, taxes, and customs clearance in their country.
3.3 Prices are subject to change prior to order confirmation.
3.4 Obvious typographical or calculation errors are not binding.

4. Orders and Contract Formation

4.1 Orders are subject to written confirmation by the seller.
4.2 A binding contract is formed only upon issuance of an Order Confirmation by the seller.
4.3 The seller reserves the right to decline or cancel orders at its discretion.

5. Delivery and Risk Transfer

5.1 Delivery times:

• Order Cut-off Time

  • Orders placed before 17:00 (CET) on working days (Monday to Saturday) will be processed the same day.

  • Orders placed after 17:00 (CET) will be processed on the following working day.

  Processing Time

  • Minimum processing time: 1 working day

  • Maximum processing time: 3 working days

  • Orders are processed from Monday to Saturday (excluding public holidays).

  Shipping Duration

  • Minimum shipping duration: 27 working days

  • Maximum shipping duration: 70 working days

  • Orders are shipped from Monday to Saturday (excluding public holidays).

  Total Delivery Time

  • The estimated total delivery time is therefore 28 to 73 working days, depending on product availability, supplier production schedules, and international shipping times.

  All delivery times are indicative and non-binding. Delays do not entitle the buyer to cancel the order or claim damages, unless explicitly agreed in writing.

6. Payment

6.1 Payment must be made in full before shipment, unless otherwise agreed in writing.
6.2 Accepted payment methods are listed on the website or in quotations.
6.3 The buyer guarantees sufficient funds and authorisation for the payment method used.

7. No Right of Return – B2B Sales

7.1 As all sales are B2B, no right of withdrawal or return applies under consumer legislation.
7.2 Returns are only accepted if the goods are defective or do not conform to the agreed specifications, and only after written approval from the seller.

8. Inspection and Claims

8.1 The buyer must inspect the goods immediately upon receipt.
8.2 Any defects or non-conformities must be reported in writing with photographic evidence within 48 hours of delivery.
8.3 If a claim is accepted, the seller may at its discretion:
(a) repair the goods;
(b) replace the goods; or
(c) refund the purchase price.
8.4 Returned goods must be in original packaging and condition, unless otherwise agreed.

9. Warranty

9.1 Products are covered by the manufacturer’s warranty as specified in the product documentation.
9.2 The warranty does not cover damage due to improper installation, misuse, unauthorised modifications, or normal wear and tear.

10. Liability

10.1 To the fullest extent permitted by law, the seller’s liability is limited to the invoice value of the goods concerned.
10.2 The seller is not liable for indirect, incidental, or consequential damages, including loss of profit, downtime, or third-party claims.

11. Force Majeure

11.1 The seller is not liable for delays or non-performance caused by events beyond its reasonable control, including but not limited to natural disasters, transport disruptions, customs delays, or strikes.

12. Intellectual Property

12.1 All content on the website, including product descriptions, images, and technical data, remains the property of Signage Displays or its licensors.
12.2 The buyer may not reproduce or distribute this content without written consent.

13. Governing Law and Jurisdiction

13.1 These Terms are governed by the laws of the Netherlands.
13.2 All disputes shall be submitted to the competent court in the Netherlands.
